Terms of Service

1. Acceptance of Terms

Welcome to Sonatrix Productions ("Company," "we," "us," or "our"). By accessing our website, engaging our services, or entering into any agreement with us, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Sonatrix Productions, a video production and animation company located at 1133 Pennsylvania St, Denver, CO 80203.

If you do not agree with any part of these Terms, you must not use our website or services. We reserve the right to modify these Terms at any time. Continued use of our services following any modifications constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically for changes.

These Terms apply to all visitors, users, clients, and any other person who accesses or uses our website or services, including but not limited to video production, animation, post-production, and any related creative services provided by Sonatrix Productions.

2. Services Description

Sonatrix Productions provides professional video production, animation, post-production, and related creative services. Our services include, but are not limited to:

  • Video content creation for YouTube, TikTok, Instagram, and other social media platforms
  • 2D and 3D animation, motion graphics, and animated explainer videos
  • Music video production and promotional video content
  • Professional video editing, color correction, color grading, and sound design
  • Visual effects (VFX) compositing and integration
  • Virtual Reality (VR) and Augmented Reality (AR) video content creation
  • Brand films, corporate videos, and commercial content production
  • Pre-production planning including scripting, storyboarding, and creative direction
  • Interactive video formats and immersive storytelling experiences

The specific deliverables, timeline, and scope of work for each project will be outlined in a separate project agreement, proposal, or statement of work provided to the Client prior to the commencement of any production work. All services are subject to availability and may vary based on project requirements and complexity.

3. Project Agreements and Proposals

Before commencing any production work, Sonatrix Productions will provide the Client with a detailed project proposal or statement of work outlining the scope of services, deliverables, timeline, pricing, payment schedule, and any other terms specific to the project. The project proposal must be approved and signed by both parties before work begins.

The project proposal, together with these Terms of Service, constitutes the complete agreement between the Client and Sonatrix Productions for the specific project. In the event of any conflict between the project proposal and these Terms, the project proposal shall take precedence with respect to project-specific details, while these Terms shall govern all other matters.

Any modifications to the project scope, deliverables, or timeline must be agreed upon in writing by both parties. Changes to the project scope may result in adjustments to the project fee and delivery timeline, which will be communicated to the Client in advance.

4. Pricing, Payment, and Invoicing

All pricing for services will be detailed in the project proposal provided to the Client. Sonatrix Productions offers various pricing packages as well as custom quotes for projects that fall outside of standard package offerings. All prices are quoted in United States Dollars (USD) and are exclusive of applicable taxes unless otherwise stated.

4.1 Payment Schedule

Unless otherwise agreed upon in the project proposal, the following payment schedule applies: a non-refundable deposit of 50% of the total project fee is due upon signing the project agreement and prior to the commencement of any work. The remaining 50% is due upon delivery of the final product or as specified in the project proposal. For larger projects, a milestone-based payment schedule may be arranged.

4.2 Late Payments

Invoices are due within 14 days of the invoice date unless otherwise specified. Late payments may incur a late fee of 1.5% per month (or the maximum rate permitted by law) on the outstanding balance. Sonatrix Productions reserves the right to suspend work on any project for which payment is overdue until all outstanding invoices are settled in full.

4.3 Additional Costs

Any additional costs incurred during production that fall outside the original project scope (including but not limited to travel expenses, location fees, talent fees, specialized equipment rental, stock footage, licensed music, and rush delivery charges) will be communicated to the Client in advance and billed separately unless included in the original project proposal.

5. Intellectual Property and Ownership

5.1 Ownership of Final Deliverables

Upon receipt of full payment for the project, the Client shall receive ownership rights to the final delivered video and/or animation content as specified in the project proposal. This transfer of ownership applies only to the final, approved deliverables and does not extend to raw footage, project files, outtakes, unused concepts, or any proprietary tools, techniques, or processes developed by Sonatrix Productions.

5.2 Portfolio and Promotional Use

Sonatrix Productions retains the right to use any produced content in its portfolio, showreel, website, social media channels, and promotional materials, unless the Client explicitly requests otherwise in writing prior to the commencement of the project. Any such request may be subject to additional fees.

5.3 Pre-existing Materials

Any pre-existing intellectual property, including but not limited to proprietary animation rigs, templates, plugins, scripts, custom tools, and production techniques owned by Sonatrix Productions prior to or independent of the project, shall remain the sole property of Sonatrix Productions. The Client is granted a non-exclusive, non-transferable license to use such materials solely within the context of the delivered final product.

5.4 Client-Provided Materials

The Client retains all ownership rights to any materials provided to Sonatrix Productions for use in the project, including but not limited to logos, branding assets, photographs, music, scripts, and other proprietary content. The Client warrants that they have the necessary rights, licenses, and permissions to use all materials provided and shall indemnify Sonatrix Productions against any claims arising from the use of Client-provided materials.

6. Revisions and Approval Process

The number of revision rounds included in the project is specified in the project proposal and depends on the selected service package. Revision requests must be submitted in writing (via email) and must be consolidated into a single round of feedback per revision cycle to ensure an efficient production workflow.

Additional revision rounds beyond those included in the project proposal may be accommodated at an additional fee, which will be communicated to the Client before the additional work is performed. Sonatrix Productions will make all reasonable efforts to accommodate revision requests; however, revisions that constitute a fundamental change in creative direction or project scope may be treated as a scope change and may require a revised project proposal.

The Client is responsible for reviewing all drafts, rough cuts, and previews within 5 business days of delivery. If feedback is not received within this period, the deliverable may be considered approved, and the project may proceed to the next stage.

7. Project Timeline and Delays

Sonatrix Productions is committed to delivering projects within the timeline specified in the project proposal. However, the estimated delivery dates are contingent upon timely receipt of all required materials, approvals, and feedback from the Client. Delays caused by the Client, including but not limited to late provision of materials, delayed feedback, or scope changes, may result in an extension of the project timeline.

Sonatrix Productions shall not be held liable for delays resulting from circumstances beyond our reasonable control, including but not limited to weather conditions affecting outdoor shoots, equipment failures, acts of God, natural disasters, pandemics, government regulations, labor disputes, or any other force majeure events.

8. Cancellation and Termination

Either party may terminate a project agreement by providing written notice to the other party. In the event of cancellation by the Client, the following terms apply: the initial deposit is non-refundable. If work has progressed beyond the initial phase, the Client shall be responsible for payment of all work completed up to the date of cancellation, calculated on a pro-rata basis. Any deliverables produced up to the point of cancellation will be provided to the Client upon receipt of all outstanding payments.

In the event that Sonatrix Productions terminates the agreement due to Client non-cooperation, non-payment, or breach of these Terms, all completed work up to the date of termination will be invoiced and must be paid by the Client within 14 days. Sonatrix Productions reserves the right to retain all deliverables until full payment is received.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project, including but not limited to business strategies, unreleased content, trade secrets, financial information, and any other information reasonably considered to be confidential. This obligation of confidentiality shall survive the termination or completion of the project for a period of two (2) years.

Confidential information does not include information that is publicly available, was already known to the receiving party prior to disclosure, is independently developed by the receiving party, or is required to be disclosed by law or court order.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Sonatrix Productions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to the use of our services, regardless of the theory of liability.

In no event shall Sonatrix Productions' total aggregate liability exceed the total amount paid by the Client for the specific project giving rise to the claim. This limitation applies regardless of whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory.

11. Indemnification

The Client agrees to indemnify, defend, and hold harmless Sonatrix Productions, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the Client's breach of these Terms; (b) the Client's use of the delivered content; (c) any third-party claims arising from Client-provided materials; and (d) any violation of applicable laws or regulations by the Client.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States of America, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within thirty (30) days, either party may initiate mediation or binding arbitration in Denver, Colorado, in accordance with the rules of the American Arbitration Association.

13. Website Use

By using the Sonatrix Productions website, you agree not to: use the website for any unlawful purpose; attempt to gain unauthorized access to any portion of the website; interfere with or disrupt the website or its servers; copy, reproduce, distribute, or create derivative works from any content on the website without prior written consent; use any automated tools to scrape, harvest, or collect information from the website.

Sonatrix Productions reserves the right to modify, suspend, or discontinue the website at any time without notice. We do not guarantee that the website will be available at all times or free from errors, viruses, or other harmful components.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

15. Entire Agreement

These Terms, together with any project proposals, statements of work, and other written agreements between the parties, constitute the entire agreement between the Client and Sonatrix Productions and supersede all prior or contemporaneous oral or written communications, proposals, and representations with respect to the subject matter hereof.
